  • Bias: Positive on the conversion from volatile bitcoin mining to contracted AI-infrastructure rent. Negative on the current entry after a 30.3% move above the $53 reference price in five trading sessions.
  • Risk: One tenant, one flagship site, one unproven public-company team, and a messy legacy shareholder base. The headline adjusted-EBITDA numbers also look much cleaner than GAAP earnings and cash receipts.
  • Action: WATCH. No position. The asset is real and the contract matters, but the stock already prices in a clean transition. Let Celsius-related supply settle and demand proof that August rent is converting into cash before paying a premium.

Why this matters, in plain English

Ionic owns sites with large amounts of electricity already connected, then rents that powered space to companies building AI data centers. It is replacing a volatile bitcoin-mining business with a long lease whose monthly cash payments started in August. If that rent arrives on schedule and Ionic expands the site without blowing the budget, the company could become a valuable landlord for the AI buildout rather than just another crypto miner.

Why this name now

The business changed faster than the market history can show. Ionic was formed in 2024 from Celsius Mining's bankruptcy assets. In October 2025 it agreed to lease all 234 megawatts at its Ward County, Texas site to Nscale for 126 months. Fixed monthly rent begins in August 2026, turning the current quarter into the first real cash-conversion test.

The end customer is stronger than the tenant's name suggests. Nscale says the Ward County campus will support roughly 104,000 NVIDIA GB300 GPUs for Microsoft, with phased delivery beginning in the third quarter of 2026. The prospectus says the initial 234-megawatt lease represents about $1.95 billion of contracted revenue. An extra 89 megawatts could lift the total to about $2.6 billion if Ionic secures power and regulatory approval.

The mix shift is already visible in GAAP revenue. First-quarter 2026 revenue rose 25.2% year over year to $51.44 million. Digital-infrastructure leasing contributed $43.96 million, or 85.4% of the total, while bitcoin-mining revenue fell 82.0% to $7.40 million. Management expects leasing to represent 90%-92% of full-year revenue.

The listing created price discovery, not capital. IOND began trading July 28 through a direct listing. The company sold no new shares and received no listing proceeds. It had already raised $400 million privately at $53 per share in June. The stock opened at $50, closed its first day at $62.90, and finished August 3 at $69.04.

The Celsius inheritance cuts both ways. Roughly 37 million shares were distributed to eligible Celsius claimholders. For some, IOND is an investment. For others, it is a delayed bankruptcy recovery they have waited years to cash out. Transfer problems have delayed some supply, so the first week may not represent a stable float.

Recent r/IonicDigitalStock discussion captures the conflict. One holder said, "I definitely expect more volatility as people get their shares transferred over," while another said, "I'm out at $61.45, priorities have changed in my life since the beginning of the bankruptcy." A 61-point cash-out thread drew the line that matters: u/TrashBandicook joked, "Ah, so you're the reason it refuses to budget past $70!" The joke sits on top of a real supply threshold.

GAAP reality: The income statement is not clean yet. Ionic reported a $12.98 million GAAP net loss in Q1 and expects a preliminary $34-$35 million GAAP net loss in Q2. Full-year 2025 free cash flow was negative $107.6 million. Straight-line lease accounting also means reported revenue can arrive well before the matching cash.

Management targets and non-GAAP reality: The $190-$195 million revenue outlook, $137.5-$142.5 million adjusted-EBITDA outlook, 68%-72% adjusted-EBITDA margin, and $251 million future annual contracted revenue are management forecasts or non-GAAP measures. They are not audited outcomes.

The adjusted-EBITDA definition deserves a knife. The July outlook excludes realized and unrealized gains and losses on digital assets. The direct-listing prospectus' earlier definition did not explicitly exclude bitcoin fair-value changes and reported Q1 adjusted EBITDA of negative $17.93 million. The July investor deck adds back a $53.32 million cryptocurrency fair-value loss and shows Q1 adjusted EBITDA of positive $35.40 million. That does not make the newer figure false, but it breaks clean comparability. We should underwrite cash rent, not the prettiest adjusted label.

Valuation snapshot

At $69.04 and 44.92 million basic shares, equity value is approximately $3.10 billion. Subtracting $418.1 million of pro forma cash, $192.1 million of bitcoin, and roughly $3 million of assets held for sale gives an approximate enterprise value of $2.49 billion.

That equals roughly:

  • 12.9x the midpoint of management's 2026 revenue outlook.
  • 17.8x the midpoint of management's 2026 adjusted-EBITDA outlook.
  • 18.1x adjusted EBITDA at a $70 share price.
  • 12.6x adjusted EBITDA at the $53 reference price.

The basic count excludes 3.02 million warrants. The first 1.01 million-share tranche is already in the money above its $63.60 exercise price. Full warrant exercise would add 6.7% to the basic share count while bringing cash into the company. Treat current multiples as the friendly version, not the fully diluted truth.

The weighted scenario value is approximately $69 per share, essentially equal to the $69.04 reference price. The base case offers only about 7% upside, while the bear case carries roughly 45% downside. The bull can work. The entry does not pay us to wait for it.

What the market may be missing

1. This is a power-landlord story wearing crypto clothes. The scarce asset is not the mining fleet. It is energized land that can host AI equipment now. Ionic's homepage pitches "power-now" and faster deployment. The Nscale lease proves that pitch has at least one institutional customer.

2. The lease economics are unusually asset-light for the owner. The arrangement is triple net, meaning the tenant pays property operating costs such as taxes, insurance, and maintenance. Management targets a 98%-99% site-level margin for the digital-infrastructure segment. If cash collection matches the contract, the site can behave more like a high-margin rental asset than a traditional data-center operator.

3. Microsoft makes the demand more credible, but it does not erase Nscale risk. Nscale publicly tied the Texas campus to Microsoft and NVIDIA infrastructure. The prospectus and investor materials also describe NVIDIA support for part of the rent obligation. That improves credit quality, but Ionic's legal counterparty concentration still matters. The exact guarantee scope and duration must be read, not summarized away.

4. The float may be temporarily tighter than the share count suggests. Legacy shareholders are still transferring stock from the Odyssey trust platform into brokers. That can delay selling and exaggerate early strength. Private-placement holders also accepted transfer restrictions below $70 for six months. A tight first-week float is not the same thing as permanent demand.

5. August 7 is not a clean company catalyst. Reddit discussion has promoted an ERCOT "Batch Zero" deadline as an Ionic-specific event. The process is real, but no company filing or ERCOT document found in this research confirms an August 7 Ionic approval. The existing 234 MW and August rent are the confirmed facts. The broader expansion remains subject to power availability, transmission work, and regulation.

Kill criteria

The thesis is dead or materially impaired if any of these occur:

1. Nscale fails to make fixed monthly rent on schedule or Ionic discloses concessions, deferrals, or contract restructuring.

2. Microsoft deployment at Ward County materially slips without a credible revised timetable.

3. The additional 89 MW misses the second-half 2027 energization plan because of ERCOT, utility, transmission, or construction constraints.

4. Ward County expansion spending materially exceeds the $40 million plan for current plus incremental contracted capacity without matching contracted rent.

5. Management spends the $400 million raise on speculative acquisitions before proving cash conversion at the flagship site.

6. Tenant concentration remains near 100% while Nscale's financing or operating position weakens.

7. Adjusted EBITDA rises while operating cash flow stays structurally negative. Accounting revenue without cash is not the business we are underwriting.

8. Bitcoin exposure again dominates revenue, liquidity, or stock behavior instead of serving as a shrinking bridge asset.

9. Share issuance, warrant exercise, or legacy selling expands faster than operating value.

10. Management promotes retail catalyst dates that are not supported by company or regulatory filings.

Entry discipline

No position at $69.04. IOND is a watchlist, not a chase.

  • First work zone: $53-$60, provided August rent is confirmed and no tenant or deployment damage appears. At $53, approximate enterprise value falls to $1.77 billion, or about 12.6x management's 2026 adjusted-EBITDA midpoint.
  • Second path: A price above $70 becomes investable only if evidence improves faster than valuation, confirmed rent collection, final Q2 results without accounting surprises, a de-risked 89-megawatt expansion, or another credible AI tenant.
  • Do not use $70 as technical magic. It is a transfer threshold for private-placement investors, not a fundamental floor or target.
  • Before any allocation: Read the full Nscale lease and NVIDIA guarantee scope, reconcile cash rent to GAAP lease revenue, track warrant dilution, verify monthly rent, and map every expansion dependency through ERCOT and the utility.
  • Position size: No position. IOND scores 70/100, below A-Portfolio candidate status.

Bottom line: Ionic owns something the AI buildout desperately needs: power that is already connected. The Nscale lease can turn a volatile miner into a high-margin infrastructure landlord. But five trading sessions, delayed Celsius supply, one-tenant risk, and aggressive non-GAAP optics are not a clean entry. Watch the cash. Do not chase the story. No position.
