A-Portfolio Daily, ZETA: AI growth finally crossed into GAAP profit
As of: August 7, 2026, pre-market
Ticker: NYSE: ZETA
Reference price: $25.55, August 6 close
Verdict: A-PORTFOLIO CANDIDATE, BUY THE PULLBACK, NOT THE PRINT
A-Portfolio Score: 83/100
Bias / Risk / Action
- Bias: Bullish. Zeta just printed 44% revenue growth, positive quarterly GAAP operating income and net income, 73% free-cash-flow growth, and its 20th consecutive beat-and-raise quarter.
- Risk: The headline growth includes Marigold. Stock-based compensation remains heavy, the stock already rerated, data/privacy rules can hit the moat, and a securities case survived a motion to dismiss on July 8.
- Action: No chase at $25.55. Open a 1.0% starter only at $22.00-$23.00; max 2.5% after another quarter proves at least 20% organic growth and positive GAAP operating income. Invalidation: weekly close below $19, or a fundamental kill criterion first.
Why this matters, in plain English
Most AI software stories still ask investors to ignore the income statement. Zeta no longer needs that excuse. The company turned a 44% revenue quarter into positive GAAP operating income, positive GAAP net income, and real cash generation while raising full-year guidance.
The catch is price. At $25.55, the market is already paying roughly 15.7x management's 2026 adjusted EBITDA midpoint. The business clears the A-Portfolio bar. Today's entry does not. Let the market bring the target into range.
The thesis
Zeta owns a differentiated enterprise marketing stack: a proprietary identity/data layer, AI decisioning through Athena, and omnichannel execution in one platform. That can replace or wrap around fragmented point solutions. The proof is showing up in both customer count and wallet share: Super-Scaled Customers reached 197, up 17%, while reported ARPU reached $1.8 million.
The latest quarter is an inflection, not merely a beat:
1. GAAP crossed positive: Q2 operating income was $16.9 million and net income was $8.2 million, versus operating and net losses a year ago.
2. Cash scaled faster than revenue: operating cash flow rose 64.5% and company-defined free cash flow rose 72.7%.
3. Underlying growth stayed strong: management guided 2026 revenue growth of 24%-25% excluding M&A and political-candidate revenue, versus 39%-40% reported.
4. Distribution is widening: management cites collaborations with OpenAI, Snowflake, and Palantir. Those names are not the thesis; accelerated enterprise adoption is.
5. Balance-sheet optionality increased: the new facility includes a $250 million term loan and an undrawn $750 million revolver. That creates flexibility, but it also raises M&A and capital-allocation risk.
The numbers
GAAP results, Q2 2026
| Metric | Q2 2026 | Q2 2025 | Change |
|---|---|---|---|
| Revenue | $442.8M | $308.4M | +43.6% |
| Operating income / (loss) | $16.9M | $(5.1)M | Turned positive |
| Operating margin | 3.8% | (1.7%) | +550 bps, calculated |
| Net income / (loss) | $8.2M | $(12.8)M | Turned positive |
| GAAP net margin | 1.8% | (4.2%) | +600 bps |
| Operating cash flow | $69.2M | $42.0M | +64.5% |
| Stock-based compensation | $52.1M | $46.5M | 11.8% of revenue |
Six-month GAAP net loss was still $5.1 million, and six-month stock-based compensation was $105.1 million, or 12.5% of revenue. One profitable quarter does not erase dilution.
Non-GAAP results, company-defined
| Metric | Q2 2026 | Q2 2025 | Change |
|---|---|---|---|
| Adjusted EBITDA | $91.7M | $58.8M | +56.0% |
| Adjusted EBITDA margin | 20.7% | 19.1% | +160 bps |
| Free cash flow | $58.0M | $33.6M | +72.7% |
| Free-cash-flow margin | 13.1% | 10.9% | +220 bps |
Adjusted EBITDA adds back $52.1 million of Q2 stock-based compensation, among other items. Treat it as a scaling metric, not economic earnings.
Management targets, not GAAP results
- 2026 revenue: $1.811B-$1.824B; midpoint $1.818B, reported growth 39%-40%.
- Organic-style guide: 24%-25% growth excluding M&A and political-candidate revenue.
- 2026 adjusted EBITDA: $404.1M-$406.3M; midpoint $405.2M.
- 2026 company-defined free cash flow: $254.8M-$255.8M; midpoint $255.3M.
- 2026 GAAP EPS: $0.09-$0.11.
Valuation and entry discipline
Using $25.55, 251.0 million shares outstanding as of July 29, $310.0 million of June cash, and the post-quarter $250 million term loan:
- Approximate market capitalization: $6.41B.
- Approximate enterprise value: $6.35B.
- EV / 2026 revenue midpoint: 3.5x.
- EV / 2026 adjusted EBITDA midpoint: 15.7x.
- 2026 guided free-cash-flow yield on market cap: 4.0%.
These are approximations: July refinancing cash movements, fees, options, RSUs, acquisition liabilities, and future repurchases can change fully diluted value.
Preferred entry: $22.00-$23.00. That is 10%-14% below the reference price and implies approximately 13.5x-14.1x 2026 adjusted EBITDA with a 4.4%-4.6% guided free-cash-flow yield.
Position plan: 1.0% starter in the zone. Add only after fresh proof. Maximum 2.5%. No position above $23 unless estimates rise enough to preserve the same valuation.
Bull / Base / Bear
Illustrative 12-18 month framework using the 2026 revenue-guidance midpoint as the base, 251.0 million current shares, and approximately $60 million net cash after the refinancing. These are scenarios, not company guidance.
| Case | 2027 revenue assumption | Adj. EBITDA margin | EV / EBITDA | Implied value/share | Upside / (downside) vs. $25.55 |
|---|---|---|---|---|---|
| Bear | $2.09B (+15%) | 20.0% | 10x | $16.89 | (33.9%) |
| Base | $2.27B (+25%) | 23.5% | 14x | $30.02 | +17.5% |
| Bull | $2.36B (+30%) | 26.0% | 18x | $44.29 | +73.3% |
The asymmetry becomes compelling closer to $22.50. At $25.55, the bear case still has teeth and the base case is not enough to chase.
What the market may be missing
The easy label is “ad-tech.” The stronger possibility is that Zeta becomes the decision-and-activation layer sitting between enterprise first-party data and multiple AI models. If Athena increases usage inside existing customers, the key economic signal will be ARPU and margin expansion, not press releases carrying famous partner names.
The second underappreciated point is the quality shift. Reported revenue grew 44%, but cash flow grew faster and GAAP operations turned profitable. If that survives acquisition integration, Zeta can graduate from high-growth martech to a credible compounder.
What I learned from the last 30 days
The investable conversation is concentrated around two events: the Q2 beat-and-raise and the new credit facility. r/ZetaGlobal is bullish but small and promotional; posts celebrating the quarter and financing drew limited engagement. That is a sentiment check, not evidence. The financial statements carry the thesis.
The signal outside the dedicated community was weak and collision-prone because “Zeta” also maps to unrelated software, mathematics, and esports. There is no broad, high-quality crowd consensus to lean on. Good. The trade should be won on customer economics, GAAP conversion, and entry price.

Kill criteria
The thesis is dead or materially damaged if any of these hit:
1. Organic growth, defined by management as excluding M&A and political-candidate revenue, falls below 15% for two consecutive quarters.
2. Super-Scaled Customer count declines year over year, or ARPU contracts for two quarters.
3. GAAP operating income turns negative for two consecutive quarters without a clearly temporary, disclosed cause.
4. Stock-based compensation remains above 12% of revenue while diluted share count rises more than 5% year over year.
5. Marigold integration produces customer losses, margin compression, or impairment evidence.
6. A material privacy, security, or data-rights event impairs the Data Cloud.
7. Net leverage rises above 2.0x adjusted EBITDA for acquisition-driven growth without clear per-share accretion.
8. The securities litigation produces evidence that invalidates reported customer, revenue, or cash-flow quality.
A-Portfolio score, 83/100
| Category | Score | Maximum | Judgment |
|---|---|---|---|
| Category leadership / moat | 18 | 20 | Proprietary data, identity graph, Athena, and integrated activation form a real platform; giants remain formidable. |
| Growth runway | 19 | 20 | 44% reported growth and 24%-25% ex-M&A/political guidance; enterprise replacement cycle supports runway. |
| Financial quality | 16 | 20 | Positive quarterly GAAP income and strong cash conversion; SBC and acquisition accounting keep this below elite. |
| Valuation / asymmetry | 10 | 15 | Reasonable for the growth, not cheap enough after the rerating; setup improves sharply in the low $20s. |
| Management / governance | 9 | 10 | Founder-led and 20 straight beat-and-raise quarters; dual-class control and acquisition appetite cost a point. |
| Catalysts | 9 | 10 | Raised guide, Athena monetization, Marigold integration, partner distribution, October 8 Zeta Live. |
| Entry quality | 2 | 5 | Price is above the preferred zone after an earnings gap. Discipline over dopamine. |
| Total | 83 | 100 | A-Portfolio candidate, conditional entry |
One-line call
Zeta cleared the quality bar; the stock has not cleared the entry bar, bid $22-$23, size small, and force the next quarter to prove the platform is compounding without dilution eating the edge.
